1. Overview
These Terms and Conditions govern the use of services provided by Conduit Works LLC ("Company," "we," or "us"), a Florida limited liability company. By engaging our services, clients agree to these terms.
2. Description of Services
Conduit Works LLC provides AI-powered virtual receptionist services to local small businesses. Services may include:
- AI voice call answering on behalf of the client's business
- Lead capture and logging
- SMS notifications to the business owner following each call
- Website setup and maintenance
- Integration with third-party communication and scheduling tools
3. SMS Messaging
As part of our service, we send automated SMS text messages to business owners after each call handled by the AI receptionist, and after inquiries submitted through a client's website. These messages are transactional notifications summarizing call or inquiry details; they are not marketing messages.
By engaging our services and providing a mobile phone number, business owners expressly consent to receive these SMS notifications. Message frequency depends on the volume of calls and inquiries received. Message and data rates may apply.
You may opt out at any time by replying STOP to any message, or by notifying us directly. Reply HELP to any message for assistance. Opting out stops the text notifications only; it does not cancel or otherwise affect the remainder of the service, and call and inquiry records remain available in your dashboard.
4. Client Responsibilities
Clients agree to:
- Provide accurate business information necessary for the AI receptionist to serve their customers
- Keep their contact information current so SMS notifications are delivered correctly
- Use the service only for lawful business purposes
- Not misrepresent their business, services, or pricing through the AI receptionist platform
5. No Unauthorized Use
Clients may not use our services to:
- Engage in fraudulent, deceptive, or illegal activity
- Harass, threaten, or deceive callers
- Collect information from callers for purposes not disclosed to those callers
- Violate any applicable federal, state, or local law or regulation
6. Service Availability
We make reasonable efforts to maintain continuous service availability. However, we do not guarantee uninterrupted service and are not liable for outages caused by third-party platform failures (including Twilio, Google, or Anthropic), internet disruptions, or circumstances outside our reasonable control.
7. Payment Terms
Services are provided for a flat monthly fee as agreed upon in the client service agreement. Fees are billed monthly. Failure to pay may result in suspension or termination of services.
8. Trial Period
We may offer a free trial period to prospective clients. At the end of the trial period, continued use of services constitutes agreement to the applicable monthly fee. We will notify clients before the trial period ends.
9. Termination
Either party may terminate services with reasonable written notice. Upon termination, we will cease answering calls on behalf of the client and will make reasonable efforts to transfer or delete client data as requested.
10. Limitation of Liability
Conduit Works LLC is not liable for:
- Missed calls, delayed notifications, or lost leads resulting from technical failures
- Actions taken or not taken by the business owner in response to call summaries
- Errors in AI-generated call transcripts or summaries
- Any indirect, incidental, or consequential damages arising from use of the service
Our total liability to any client for any claim shall not exceed the fees paid by that client in the prior one-month period.
11. Disclaimer of Warranties
Services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
12. Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Alachua County, Florida.
13. Changes to Terms
We may update these Terms from time to time. The current version will always be available at the URL where this document is published. Continued use of our services after any update constitutes acceptance of the revised Terms.
